Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Everwood Ventures LLC (“Everwood Ventures,” “we,” “us,” or “our”) and govern your access to and use of our websites, mobile applications, and related services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

Some features of the Services may require you to create an account or sign in through a third-party identity provider. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Subject to your compliance with these Terms, Everwood Ventures grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. The Services and all related intellectual property remain the exclusive property of Everwood Ventures and its licensors.

You agree not to:

• Use the Services in violation of applicable law or these Terms;
• Reverse engineer, decompile, or attempt to extract the source code of any application, except to the extent permitted by applicable law;
• Interfere with or disrupt the Services, our servers, or the networks connected to the Services;
• Use the Services to transmit malware, abusive content, or unauthorized advertising;
• Access the Services through any automated means without our prior written consent.

If you obtained one of our applications through the Apple App Store or Google Play, your use of that application is also subject to the applicable store's terms of service, in addition to these Terms. In the event of a conflict between these Terms and the applicable store's terms, the store's terms govern only with respect to that store's relationship with you.

We may update or modify the Services from time to time, including adding, removing, or altering features. We may also revise these Terms; when we do, we'll update the “Effective date” above and, where appropriate, notify you. Continued use of the Services after a change constitutes acceptance of the updated Terms.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Everwood Ventures disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, Everwood Ventures and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed one hundred U.S. dollars (US $100).

You agree to indemnify and hold harmless Everwood Ventures from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

We may suspend or terminate your access to the Services at any time, for any reason, including for violation of these Terms. Upon termination, all provisions of these Terms which by their nature should survive will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms are governed by the laws of the United States and the state in which Everwood Ventures LLC is registered, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms will be resolved in the courts located in that jurisdiction.
